Terms and Conditions

1. Eligibility

To use Naiiled, you must:

• Be at least 18 years old
• Have the legal capacity to enter into contracts
• Provide accurate and complete registration information

Contractors are categorized as either verified (completed KYC) or unverified (not KYC-verified). Verification affects access, visibility, and commission rates on the platform.

2. Account Registration

You are responsible for:

• Keeping your login credentials secure
• All activity under your account
• Ensuring your profile information is truthful and current

We may suspend or terminate accounts that violate these Terms or are involved in suspicious activity.

3. Our Role

Naiiled is a neutral marketplace that facilitates the discovery and connection between homeowners and contractors. We do not mediate communication, contracts, or project delivery.

Users are responsible for:

• Conducting communication directly outside the platform (e.g., phone, email, or third-party messaging tools)
• Evaluating each other independently before entering into any agreement

We are not responsible for the content or outcome of user communications or project arrangements.

4. Escrow Payments & KYC

All financial transactions are securely processed via Escrow.com. Users must:

• Accept Escrow.com's Terms of Use
• Complete KYC verification to be listed as a verified contractor
• Requires valid government-issued ID and proof of address
• Business users must provide company registration documents

Escrow.com typically verifies accounts within 2 business days. Payments cannot be received until KYC is approved.

5. Payment Plans & Fees

Naiiled does not charge upfront subscription fees. Instead, we earn a commission on each transaction, separate from Escrow.com's processing fees.

• Homeowners: 5% fee on the total project amount
• Contractors:
• Verified: 5% commission
• Unverified: 10% commission

Escrow.com's transaction and processing fees are billed separately and may vary.

6. Project Posting & Bidding

Homeowners can post renovation projects that include descriptions, budgets, and timelines. Contractors can bid on open projects.

Once a homeowner selects a contractor:

• All agreements, communication, and scheduling occur directly between the parties.
• Naiiled does not handle chat, call, or message features within the platform.

7. User Conduct

You agree not to:

• Misrepresent your identity, services, or credentials
• Circumvent the platform to avoid paying commission
• Engage in harassment, spam, or fraudulent activity
• Post misleading, harmful, or offensive content

Violations may result in suspension, legal action, or account termination.

8. Intellectual Property

All content, software, branding, and platform data are the property of Naiiled or its licensors. You may not:

• Reuse, copy, or distribute content from Naiiled without permission
• Reverse-engineer or access the platform for competitive analysis
• Use Naiiled branding without written consent

9. Limitation of Liability

Naiiled provides the Service “as is”, without warranties. We do not guarantee:

• The outcome or quality of any project
• Contractor performance or homeowner payments
• Continuous, error-free platform access

To the maximum extent permitted by law, Naiiled is not liable for:

• Disputes between users
• Financial or reputational damages
• Any action or outcome from user communication or arrangements

10. Account Termination

We reserve the right to suspend or permanently delete any account for:

• Breach of these Terms
• Fraudulent, abusive, or illegal activity
• Violation of payment or verification requirements

Account deletion must be requested manually by contacting our support team at naiiledinfo@gmail.com. Self-service deletion is not available at this time.

11. Changes to Terms

We may update these Terms occasionally. Changes will be posted on the website or sent via email. Continued use of the platform after changes indicates acceptance of the updated Terms.

12. Governing Law

These Terms are governed by the laws of the Province of Ontario, Canada. Any disputes shall be resolved in the courts of Toronto, Ontario.
